Responsibilities for the Corporate Paralegal:
  • Draft and file formation documents for corporations, limited liability companies, limited partnerships, business trusts, and non-profit entities, including:  Articles/Certificates of Incorporation/Formation, Certificates of Limited Partnership, By-Laws, Initial Action by Incorporator, Initial Director Action, Stock Subscriptions/Certificates, EIN Applications, Foreign Qualifications and related documents
  • Assemble, catalogue and assist attorneys in analyzing due diligence
  • Maintain corporate and stock records
  • Track and maintain entity status and good standing, including drafting and filing Annual Reports, Statements of Change, Articles of Amendment, etc.
  • Review/research/file with Registry of Deeds
  • Review/prepare/coordinate UCC filings
  • Process audit letters
  • Readiness to be trained on and take on Probate matters and filings
Requirements for the Corporate Paralegal:
  • Bachelor’ s Degree
  • 3 years of corporate paralegal experience in a law firm environment
  • Probate experience preferred
  • Ability to work well under pressure and work effectively with clients, attorneys, and staff
  • Must be proficient with Microsoft Office programs, including Word, Outlook, Excel, and PowerPoint
  • Technology savvy with a strong knowledge working with Microsoft Office
  • Strong organizational skills with great attention to detail
  • Strong multi-tasking and prioritizing skills with the ability to meet deadlines
  • Excellent written and verbal communication skills
  • Strong interpersonal skills with a customer service focus
  • Ability to work independently and as part of a team
  • Must be eligible to work in the U.S. without sponsorship
